We shall have no responsibility or liability for the timeliness, deletion, failure to store, inaccuracy, or improper delivery of any data or information.

3. MyDLstore’s Role

The MyDLstore website provides an online facility that allows you to sell and buy digital products.

Ownership of Products remains with the vendor. MyDLstore does not obtain any right of ownership or use (including any intellectual property rights) in respect of the Products.

MyDLstore does not have any control over, and does not take any responsibility for, the quality, safety or legality of any Products downloaded by you from our site.

MyDLstore does not warrant that the products or any content, code, data or materials downloaded from our site does not infringe the intellectual property rights of a third party. Each vendor is required to warrant that its Product does not infringe the intellectual property rights of any third party.

4. Accuracy of content

We have taken care in the preparation of the content of this website, in particular to ensure that prices quoted are correct at the time of publishing and that all goods have been fairly described. However, orders will only be accepted if there are no material errors in the description of the goods or their prices as advertised on this website.

5. Information on the Website

Whilst every effort is made to update the information contained on this website, neither the Website Owner nor any third party or data or content provider make any representations or warranties, whether express, implied in law or residual, as to the sequence, accuracy, completeness or reliability of information, opinions, any share price information, research information, data and/or content contained on the website (including but not limited to any information which may be provided by any third party or data or content providers) ("information") and shall not be bound in any manner by any information contained on the website. We reserve the right at any time to change or discontinue without notice, any aspect or feature of this website. No information shall be construed as advice and information is offered for information purposes only and is not intended for trading purposes. 6. Membership

We expect all members of MyDLstore to treat each other with respect and kindness (including MyDLstore's staff). Remember that behind every username is a real person with feelings. Your username on MyDLstore is your identity. You are responsible for your conduct and all content submitted under your username on MyDLstore.

• You must be at least 18 years of age to hold an account on MyDLstore. If you are under 18, you must have the permission and supervision of a parent or legal guardian who is at least 18 years of age; that adult is responsible for the account.
• You may not use profane or racist language or images in your username, avatar and/or public profile.
• An MyDLstore account cannot be used for the sole purpose of redirecting traffic to another web location. Please contact us to have your account closed if you are no longer using it.
• Keep your account information updated and accurate. Your account must have a valid email address at all times. MyDLstore will use the email address on file in your account information to contact you when necessary.
• Breaking any of MyDLstore's policies may result in suspension of account privileges and/or account termination. This includes all of your accounts by virtue of association. In other words, MyDLstore reserves the right to suspend the use of our site for a person and all username(s) he/she operates under.
• All vendors are subject to approval by MyDLstore.

7. Member Information

In order to access some features of the Website, you will have to register with MyDLstore. You may never use another's account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify MyDLstore immediately of any breach of security or unauthorised use of your account.

Although MyDLstore will not be liable for your losses caused by any unauthorised use of your account, you may be liable for the losses of MyDLstore or others due to such unauthorised use.

MyDLstore’s information collection and use policies with respect to the privacy of such member information are set out in our site.

Any Member Information that you disclose may be used by MyDLstore, its agents, contractors and vendor in relation to the provision of services accessible on our site, including marketing activities in relation to our site.

8. Fees and Services

You do not have to pay a fee to become a Member or to become a vendor to sell products on our site

If you are a Buyer of a Product, you will pay a fee to buy the right to use that Product.

If you are a Vendor, you will receive the fee (less the commission to which MyDLstore is entitled) collected by MyDLstore for each sale of your Products to a Buyer.

All payments by buyers on our site must be paid through Paypal.

All prices on our site are expressed in US currency.

9. Method of Purchase

To buy a product, please add it to your cart and follow the checkout procedure. When completed you will receive a download link through your registered email address. The download link is active for 72 hours. When 72 hours pass, the download link will automatically inactivate. You can also download purchased products from your account page by clicking the Download link of your 'My Account' page.

We use PayPal for all payment transactions. You don't need to have a PayPal account to pay using this method as you can choose to use a credit or debit card when you reach the PayPal payment page. We accept no liability if an order is delayed because you did not give us the correct payment details. If it is not possible to obtain full payment for the goods from your account then we can cancel the contract and or suspend any further deliveries to you. This does not affect any other rights we may have.

If you have any problems with checkout or download your product, please contact us and our staff will assist you as soon as possible.

10. Prices and minimum order value

The prices payable for goods that you order are as set out clearly in our website. There is a minimum order value of USD2.99. Orders under USD2.99 cannot be processed.

11. Downloadable Products

All the digital files available on MyDLstore have been provided by vendors who own the copyright to each and every file or who have obtained written permission from the copyright holder to display their work.

You must not sell or give these digital files away unless otherwise specified in the product sales page or in specific license.

All files must be downloaded and saved to your hard drive or saved to CD/DVD Rom.

Your Purchased Downloads links in your account area allow you 10 download attempts.

12. Damage to your computer

We try to ensure that this website is free from viruses or defects. However, we cannot guarantee that your use of this website or any websites accessible through it will not cause damage to your computer. It is your responsibility to ensure that the right equipment is available to use the website. We will not be liable to any person for any loss or damage which may arise to computer equipment as a result of using this website.

13. Returns

Due to the nature of downloaded products being in digital form no refunds will be given. Digital goods sold in the MyDLstore will be replaced or at the sole discretion of MyDLstore refunded only if due to product error or non-compliance with the sales description.

14. Additional Terms and Conditions for MyDLstore Vendors

These are addition Terms and Conditions that apply to ALL vendors using our website. These are in addition to the General terms and conditions laid out above.

14.1 Member Accounts

When your application for vendor membership is accepted by MyDLstore, you will have a single account (Member Account) that is accessible by you. Among other things, through your Member Account, you will be able to access an admininstration panel which records your sales and payment made by MyDLstore to you, upload products for sale and manage orders.

14.2 User Submissions and Conduct

As an MyDLstore vendor you may submit digital files, images and other content. This is collectively referred to as "User Submissions" You understand that whether or not such User Submissions are published, MyDLstore does not guarantee any confidentiality with respect to any User Submissions.

MyDLstore studies each and every User Submissions and will only allow material that is deemed worthy and that applies with the terms set within this agreement.

You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorise MyDLstore to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the website and these Terms & Conditions.

All vendors are entirely allowed to sell their products to any other website other than MyDLstore.com although we do ask that they are sold at a price lower than other website.

You retain all of your ownership rights in your User Submissions. You also hereby grant each user of the MyDLstore website a non-exclusive license to access your User Submissions through the Website, and to use, reproduce, distribute, display and perform such User Submissions as permitted through the functionality of the website and under these Terms & Conditions.

The above licenses granted by you in User Submissions terminate within a commercially reasonable time after you remove or delete your User Submissions from MyDLstore Service.

You understand and agree, however, that MyDLstore may retain, but not display, distribute, or perform, server copies of User Submissions that have been removed or deleted. The above licenses granted by you in User Reviews are perpetual and irrevocable.

Vendors are privy to private and confidential content in their Vendor Account Area, any user subscriber found to be sharing their username and password with third parties will be charged with Gross Misconduct and will have all their User Submissions removed immediately from the website without prior notice and risk losing their commission.

In connection with User Submissions, you further agree that you will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant MyDLstore all of the license rights granted herein.

MyDLstore does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and MyDLstore expressly disclaims any and all liability in connection with User Submissions. MyDLstore does not permit copyright infringing activities and infringement of intellectual property rights on its website, and MyDLstore will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. MyDLstore reserves the right to remove Content and User Submissions without prior notice. MyDLstore will not be held accountable for illegal material uploaded to the MyDLstore website and any legal obligations there after remain the responsibility of the Vendor.

User Submissions cannot be removed from the MyDLstore website while there are outstanding sales or promotional links to MyDLstore customers. This would not be fair to the customers who have purchased the link or who want to take part in the promotion.

User submissions can be used by MyDLstore for marketing purposes without prior notification. You CANNOT Redistribute any product files freely! Our images are not to be shared. You are NOT allowed to share our images through Yahoo, MSN, Google or any other type of group for sharing images.

14.3 Sales Profit

Whenever a vendor make a sale, the sales profit calculated by deducting the 30% vendor commission from the sales amount is immediately recorded in the vendor account. There are no additional transaction fees.

14.4 Payment
MyDLstore.com will send sales profit payments via PAYPAL.com for the applicable sales profit on 50 days or later during the first full week of each month when your vendor account balance has exceeded $50 USD. If any order that generated a sales profit is returned by the customer, or if there are any returned checks or charge backs, the amount will be deducted from the next monthly payment. If there is no subsequent payment, the vendor will be invoiced for the outstanding debit. This invoice must be paid within 45 days.

14.5 Disputes

If there is dispute between vendor and customer on the quality, functionality of a product. MyDLstore has the final discretion to determine cancellation of the questioned order and arrange refund to customer.

14.6 Taxes on Earnings

MyDLstore pay vendors earnings on downloads purchased from this website. MyDLstore is NOT responsible for paying the taxes owed to governments 'worldwide' on these earnings. Our relationship with the vendors is on a 'sub contractor' basis and it is up to the vendors to declare their earnings from this website to the appropriate government department.

14.7 Inactive product

Products that hasn't generated sales over the previous six months will be removed from our site without notice

14.8 Copyright Infringement

MyDLstore respects the intellectual property rights of others. MyDLstore requires that you do the same.
If you believe that a work of which you are the owner is infringed by a Product being offered for sale on us has been copied in a way that constitutes copyright infringement, please forward the following information to us:

1. your email address;
2. a description of the location of the alleged infringing material;
3. a description of the copyright work that has been allegedly infringed
4. a statement by you, that you warrant that the information given in the Copyright Claim is accurate and that you are either the copyright owner or are authorised to act on the copyright owner’s behalf.

On receipt of a Copyright Claim, MyDLstore will take down the Product that is the subject of the Copyright Claim and seek an explanation from its Vendor.

15. Links to Third Party Sites

Our site may contain links to web sites controlled, owned, and operated by third parties (the "third-party sites"). MyDLstore cannot control and has no responsibility for the accuracy or availability of information provided on the third-party sites. You acknowledge that use of any third-party sites is governed by the terms of use for those websites, and not by this Agreement. Links to third-party sites do not constitute an endorsement or recommendation by MyDLstore of such sites or the content, products, advertising or other materials presented on such sites, but are only for your convenience and you access them at your own risk. Such third-party sites may have a privacy policy different from that of MyDLstore and the third-party site may provide less security than this Site. We are not responsible for the content of any third-party web sites, nor do we make any warranties or representations, express or implied, regarding the content (or the accuracy of such content) on any third-party web sites, and MyDLstore shall have no liability of any nature whatsoever for any failure of products or services offered or advertised at such sites or otherwise.

16. Confidential Information and Privacy

MyDLstore does not warrant or represent that your use of our site will be confidential.

MyDLstore is not responsible for any harm that you or any person may suffer as a result of a breach of your confidentiality in respect of your use of our site.

While MyDLstore has taken precautions to protect information that you transmit to our site over the internet, MyDLstore does not warrant the security of that information. Once MyDLstore receives your transmission, MyDLstore will take reasonable steps to preserve the security of such information.

You must not disclose any confidential information made available to you through our site.

When using our site or dealing with other users of our site you must respect the privacy and legal rights of other Members.

If a Member provides you with (or your Product accesses or uses) user-names, passwords or other login information or personal information of the Member (Personal Information) you must:

1. make the Member aware that the Personal Information will be available to you; and
2. ensure that, by proceeding to transact with you, the Member is giving you permission to use the Member’s Personal Information; and
3. provide a privacy notice to the user, recording the manner in which the Personal Information will be handled by you, that is legally sufficient; and
4. use the Personal Information for the limited purposes for which the Member gave permission; and
5. handle the information in accordance with the terms of the privacy notice.

If the Member has entered into a separate agreement with you that allows you (or your Product) to store or use the Member’s Personal Information directly related to your Product (not including other products or applications) then the terms of that separate agreement will govern your use of such Personal Information.

Without limiting the generality of the foregoing, if the user provides you information about the Member’s Member Accounts , you may only use that information to access the Member’s Member Accounts when, and for the limited purposes for which, the user gave permission for you to do so.

17. Account Termination Policy

You agree that MyDLstore may, with or without cause, immediately terminate your MyDLstore account and access to the MyDLstore Service without prior notice. Without limiting the foregoing, the following will lead to a termination by MyDLstore of a user's use of the MyDLstore Service (a) breaches or violations of this Terms of Use or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) unexpected technical issues or problems.

MyDLstore reserves the right to decide whether Content or a User Submission/Subscriber is appropriate and complies with these Terms and Conditions for violations other than copyright infringement, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. MyDLstore may remove such User Submissions and/or terminate a User's access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion. Users who terminate their User agreement with MyDLstore for any reason will have all of their user submissions removed from the MyDLstore website and will have their account settled in full according to the MyDLstore commission payment structure.

Termination of your MyDLstore account includes removal of access to all offerings within the MyDLstore Service and may also bar you from further use of the MyDLstore Service. Furthermore, you agree that all terminations shall be made in MyDLstore's sole discretion and that MyDLstore shall not be liable to you nor any third-party for any termination of your account or access to the MyDLstore Service.

18.DISCLAIMER OF WARRANTY

You agree to use the Services and any information obtained through or from MyDLstore at your own risk. You acknowledge and agree that MyDLstore exercises no control over, and accepts no responsibility for, the content of information passing through MyDLstore's host computers, network hubs, points of presence or the internet. THE SERVICES PROVIDED UNDER THIS AGREEMENT ARE PROVIDED ON AN AS IS, AS AVAILABLE BASIS. MYDLSTORE MAKES NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF NON-INFRINGEMENT, ACCURACY OR COMPLETENESS OF THIS SITE'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE SERVICES IT PROVIDES AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR WEBSITE, (III) ANY UNAUTHORISED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR WEBSITE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR WEBSITE BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE MYDLSTORE WEBSITE.

MYDLSTORE EXPRESSLY DISCLAIMS ANY LIABILITY FOR THE CONTENT OF ANY DATA TRANSFERRED EITHER TO OR FROM CUSTOMER OR STORED BY CUSTOMER OR ANY OF CUSTOMER'S CUSTOMERS VIA THE SERVICES PROVIDED BY MYDLSTOREe. NO ORAL ADVICE OR WRITTEN INFORMATION GIVEN BY ANY MYDLSTORE PERSON WILL CREATE ANY WARRANTY OR MAY YOU RELY ON SUCH INFORMATION OR ADVICE. The terms of this Section will survive any termination of this Agreement. MyDLstore is not responsible for any interruption in service or down time that may occur, whether due to external network disruptions or negligence of MyDLstore. This includes loss of data resulting from delays, non-deliveries, wrong delivery, equipment failure and any and all other service interruptions caused by MyDLstore.

19. LIMITATION OF LIABILITY

You agree that MyDLstore will not be responsible for any losses that may incur where Services are accessed by third-parties through illegal or otherwise unauthorized means, including but not limited to situations where data is accessed through the exploitation of security gaps, weaknesses or flaws (whether known or unknown to MyDLstore at the time) which may exist in the Services or in MyDLstore's equipment used to provide the Services. Under no circumstances will MyDLstore be liable for any consequential, indirect, incidental, special or punitive damages, or loss of profits, revenue, data or use by Customer, any of its customers, or of any other third party, whether in an action in contract or tort or strict liability or other legal theory. MyDLstore will not be liable to Customer, any of its customers, or any other third party, for any loss or damages that result or are alleged to have resulted from the use of or inability to use the Services, or that results from mistakes, omissions, interruptions, deletion of files, loss of data, errors, viruses, defects, delays in operations, or transmission or any failure of performance, whether or not limited to acts of God, communications failure, theft, destruction or unauthorized access to MyDLstore's records, programs, equipment or services. Notwithstanding anything to the contrary in this Agreement, MyDLstore's maximum liability under this Agreement for all damages, losses, costs and causes of actions from any and all claims (whether in contract, tort, including negligence, quasi-contract, statutory or otherwise) will not exceed the actual dollar amount paid by Customer for the Services which gave rise to such damages, losses and causes of actions during the 12-month period prior to the date the damage or loss occurred or the cause of action arose. This limitation of liability reflects an informed, voluntary allocation between the parties of the risks (known and unknown) that may exist in connection with this Agreement. The terms of this Section will survive any termination of this Agreement.

20. General

20.1 Entire Agreement.
These website terms and conditions constitute the sole record of the agreement between you and the Website Owner in relation to your use of the website. Neither you nor the Website Owner shall be bound by any express tacit or implied representation, warranty, promise or the like not recorded herein. Unless otherwise specifically stated these website terms and conditions supersede and replace all prior commitments, undertakings or representations, whether written or oral, between you and the Website Owner in respect of your use of the website.

20.2 Alteration
