Affiliate Agreement

This agreement describes the entire terms and conditions for participation in the MyDLstore.com Affiliate Program.

In this agreement, the term "Affiliate" refers to you (the applicant). Wherever the agreement refers to "you" or "your", it means "the Affiliate"; "we" or "our"; refers to MyDLstore.com

1. Affiliate Site
MyDLstore.com will create a unique URL for you when you submit a complete online Affiliate Enrollment Form.

2. Commissions
We will pay you a commission based on the below structure:

The Commission Rate is subject to change from time to time, upon e-mail notice to you and commencing the 30-days following such notice.

3. Payment
MyDLstore.com will send commission payments via PAYPAL.com for the applicable commissions on 50 days or later during the first full week of each month when your commission has exceeded $50 USD. If any order that generated a referral fee is returned by the customer, or if there are any returned checks or charge backs, the amount will be deducted from the next monthly payment. If there is no subsequent payment, the Affiliate will be invoiced for the outstanding debit. This invoice must be paid within 45 days.

4. Qualifying Sites
MyDLstore.com reserves the right not to accept any site into the Affiliate Program based on site content. Sites that DO NOT Qualify for the MyDLstore.com Affiliate Program include sites which:

• Promote sexually explicit materials
• Promote violence
• Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Promote illegal activities
• Violate intellectual property rights
• Warez or crack sites
• Or sites that in the sole opinion of MyDLstore.com, do not appeal to traditional conservative values

5. Order Fulfillment
MyDLstore.com is solely responsible for processing every order placed by a customer on us.

6. Customers
Customers who purchase products and services through the Affiliate Program will be deemed to be customers of MyDLstore.com. Accordingly, all MyDLstore.com rules, policies, and operating procedures concerning customer orders and service will apply to those customers. We may change our policies and operating procedures at any time. Prices and availability of our products and services may vary from time to time. MyDLstore.com policies will always determine the price paid by the customer.

7. Trademarks, Trade Names, & Patents
You hereby recognize our right of ownership of all Trademarks, Trade Names, and Patents associated with our products/services. You will act consistently with these rights and act to preserve them in the course of marketing and sales of these products/services. We grant you the right to our Trademarks and Trade Names in connection with marketing and sales of these products/services.

8. Web site service interruption
MyDLstore.com will make every effort to keep its web site operational. However, certain technical difficulties may, from time to time, resulting in temporary service interruptions. The participant agrees not to hold MyDLstore.com liable for any of the consequences of such interruptions.

9. Relationship of Parties
You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict this statement.

10. Execution and Acceptance
By using a link provided by or Affiliate Program, you execute, accept, enter into, and become party to this Agreement. At such point, MyDLstore.com simultaneously and automatically becomes counter-party to this Agreement. The effective date of such Agreement is the day on which link is used by you.

11. Unsolicited Commercial Email or SPAM
MyDLstore.com in no way participates in mass unsolicited emailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the MyDLstore.com Affiliate Program, with no refund.

12. Termination of Agreement
The term of this Agreement will begin upon your acceptance of this Agreement and our acceptance of your application for the Affiliate Program, and will end when terminated by either party. MyDLstore.com may terminate this Agreement immediately at any time, with or without cause. Should you cease your publication of the link this Agreement shall be deemed terminated by you. Violation of this Agreement shall constitute grounds for immediate termination of this Agreement.

12.1 MyDLstore.com acceptance of referrals obtained through your site shall not constitute a continuation or renewal of this Agreement or a waiver of such termination.

12.2 You shall be entitled only to those commissions, if any, earned by you on or prior to the date of termination excluding amounts due to actual fraud, credit card fraud, credit card chargebacks and bad debt and credits for cancelled services or as otherwise in violation of this Agreement.

12.3 You shall in no event be entitled to commissions with respect to referrals delivered after the date of termination, irrespective of whether any product order, or commitment relating thereto was entered into prior to the date of termination.

12.4 Upon termination, your rights and licenses under this agreement shall immediately terminate and you shall remove the link or other licensed materials from your site.

12.5 We may withhold payment of commissions, or any portion thereof, for a reasonable time to ensure that the correct amount is paid and the sale is legitimate under the terms of this agreement, although generally payments will continue to follow the payment schedule.

12.6 Upon any termination of this Agreement, you and MyDLstore.com will be released from all obligations and liabilities to the other occurring or arising after the date of such termination or the transactions contemplated hereby, except with respect to those obligations which by their nature are designed to survive termination as provided herein; provided that no such termination will relieve you from any liability arising from any breach of this Agreement occurring prior to termination.

13. Suspension of Accounts
(a)Violation of Agreement. If you violate or breach this Agreement in any manner, we may in our sole discretion suspend your program account while we investigate the matter and consider the appropriate resolution; we expressly reserve the right, to immediately terminate your participation in the program and your program account in accordance upon any violation or breach of this Agreement.

(b)Termination Following Violation. If your program account is suspended as a result of any violation or breach of this Agreement and we thereafter determine in our sole discretion to terminate this Agreement and your account, any accrued commissions remaining in your account at such time will be unconditionally and irrevocably forfeited.

14. Disclaimers
We make no express or implied warranties or representations with respect to the affiliate program or your potential to earn income from the affiliate program. In addition, we make no representation that the operation of our site or the affiliate sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.
Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
By submitting the affiliate order application, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.

15. Limitation of Liability
We will not be liable for any indirect, incidental, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising under or with respect to this Agreement or the Program will not exceed the total commissions paid or payable to you under to this Agreement.

MYDLSTORE.COM MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, CONCERNING THE PERFORMANCE OR FUNCTIONALITY OF THE MYDLSTORE SERVICES, OR OUR AFFILIATE PROGRAM, INCLUDING BUT NOT LIMITED TO THE LINK OR OTHER AFFILIATE ADVERTISEMENTS AND HEREBY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR USE OR PURPOSE.

UNDER NO CIRCUMSTANCES SHALL MYDLSTORE.COM BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY, INCLUDING, WITHOUT LIMITATION, CUSTOMERS, FOR ANY LOSS, INJURY, OR DAMAGE, OF WHATEVER KIND OR NATURE, RESULTING FROM OR ARISING OUT OF ANY MISTAKES, ERRORS, OMISSIONS, DELAYS, OR INTERRUPTIONS IN THE RECEIPT, TRANSMISSION, OR STORAGE OF ANY MESSAGES OR INFORMATION ARISING OUT OF OR IN CONNECTION WITH THE AFFILIATE PROGRAM OR MYDLSTORE.COM

16. Modification
We reserve the right to modify any of the terms and conditions contained in this Agreement at any time and in our sole discretion. Modifications may include, but are not limited to, changes in the scope of available commission schedules, payment procedures and Program rules. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT BY LEAVING THE AFFILIATE PROGRAM.

Your continued participation in the Program following our posting of a change notice or new Agreement on our site will constitute binding acceptance of the change. No amendment, modification or supplement to this Agreement shall be effective unless it is posted by an authorized representative of MyDLstore.com at the MyDLstore.com web site.
